Terms of Service

1. Acceptance of Terms
By accessing or using the SANNEXUS platform — including SANNEXUS Connect and SANNEXUS Central (collectively, the "Platform") — you agree to be bound by these Terms of Service ("Terms"). If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, do not use the Platform.
2. The Platform
SANNEXUS provides software tools for physician placement and credentialing:
- SANNEXUS Connect: A marketplace enabling hospitals and practice groups to post clinical shifts and connect with qualified physicians.
- SANNEXUS Central: A credentialing engine that stores, verifies, and monitors physician credentials against facility bylaw requirements.
SANNEXUS is a technology platform, not a staffing agency. We do not employ physicians, guarantee placement, or assume liability for clinical care. Physicians and hospitals contract directly with each other. SANNEXUS facilitates the connection and provides credentialing infrastructure.
3. Eligibility and Account Registration
Physicians: Must hold a current, valid medical license in at least one U.S. state. By registering, you represent that all information you provide — including credentials, licenses, and certifications — is accurate and current.
Hospital Administrators: Must be authorized representatives of a licensed healthcare facility.
All Users: Must be 18 or older. You are responsible for maintaining the security of your account credentials and for all activity under your account.
4. Physician Responsibilities
By using the Platform as a physician, you agree to:
- Provide accurate, complete, and current credential information
- Update your credentials immediately upon any change (license renewal, expiration, restriction, or revocation)
- Notify SANNEXUS immediately of any disciplinary action, malpractice judgment, or licensing restriction
- Comply with all applicable federal and state laws governing medical practice
- Maintain your own malpractice insurance coverage at appropriate limits
- Enter into direct contractual arrangements with facilities for each shift engagement
You acknowledge that SANNEXUS does not provide medical malpractice coverage and is not responsible for clinical decisions made during engagements arranged through the Platform.
5. Hospital Responsibilities
By using the Platform as a hospital or facility administrator, you agree to:
- Provide accurate facility information, including bylaw requirements
- Conduct your own independent credentialing review before granting clinical privileges
- Comply with The Joint Commission, CMS, and applicable state credentialing standards
- Enter into direct contractual arrangements with physicians for each engagement
- Pay agreed shift compensation directly to physicians per contract terms
SANNEXUS credential verification is a supplemental tool, not a substitute for your facility's credentialing process. Facilities remain solely responsible for granting clinical privileges.
6. Fees and Payment
Physician Subscription: After completing 10 shifts through the Platform, a $199/month subscription fee applies. Founding physicians receive 12 months free (grandfathered tier). Billing is processed through Stripe.
Retainer: SANNEXUS charges a 5% retainer on gross shift compensation, tracked in-platform. This retainer is the physician's responsibility under the platform subscription agreement.
Hospital SaaS: $5,000–$10,000/month based on licensed bed count, billed monthly in advance. 3-month pilot period available during launch phase.
Refunds: Monthly subscription fees are non-refundable. If you dispute a charge, contact legal@sannexus.com within 30 days.
7. Independent Contractor Relationships
Physicians using the Platform are independent contractors, not employees of SANNEXUS or the facilities they engage with through Connect. SANNEXUS provides template IC agreements as a convenience; these are not legal advice. Both physicians and facilities are encouraged to seek independent legal counsel before executing any engagement.
8. Intellectual Property
The Platform, including its software, design, and content, is owned by SANNEXUS, LLC and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Platform.
You retain ownership of the credentials, documents, and information you submit. By submitting content, you grant SANNEXUS a limited license to use it to provide the Platform services (e.g., matching, verification, bylaw gap analysis).
9. Prohibited Conduct
You agree not to:
- Submit false, misleading, or fraudulent credential information
- Attempt to circumvent the Platform's access controls or security measures
- Scrape, harvest, or bulk-collect data from the Platform
- Use the Platform to transmit patient health information (PHI) unless pursuant to a BAA
- Interfere with the Platform's operation or other users' access
- Use the Platform in violation of any applicable law or regulation
10. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. SANNEXUS DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT GUARANTEE THE ACCURACY OF CREDENTIAL VERIFICATION RESULTS OR THAT ANY PHYSICIAN WILL BE PLACED OR ANY SHIFT WILL BE FILLED.
SANNEXUS IS NOT A LICENSED HEALTHCARE PROVIDER, CREDENTIALING VERIFICATION ORGANIZATION (CVO), OR STAFFING AGENCY. USE OF THE PLATFORM DOES NOT SUBSTITUTE FOR INDEPENDENT CREDENTIALING DUE DILIGENCE BY FACILITIES.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SANNEXUS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES YOU PAID TO SANNEXUS IN THE THREE MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless SANNEXUS, its officers, and employees from claims, damages, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) your breach of these Terms; (c) inaccurate credential information you provide; or (d) any clinical services rendered through engagements arranged on the Platform.
13. Termination
SANNEXUS may suspend or terminate your account if you violate these Terms, submit false credentials, or if required by law. You may close your account at any time by contacting support. Upon termination, credential and transaction records are retained per our Privacy Policy.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Disputes will be resolved by binding arbitration in Florida under AAA Commercial Arbitration Rules, except that either party may seek injunctive relief in court for intellectual property violations.
15. Changes to Terms
We may update these Terms. We will provide 30 days' notice of material changes via email to registered users. Continued use after the effective date constitutes acceptance.
